1. About these terms
SeatAdmit is operated by SeatAdmit Limited (“SeatAdmit”, “we”, “us”). We provide ticketing software and payment facilitation for film distributors selling tickets to screenings across Europe. These Terms are written in plain English and form a binding agreement. By creating an account, listing a screening, or buying a ticket, you agree to them. If you don't agree, don't use the platform.
2. Our role — who sells the ticket
SeatAdmit provides the technology and processes payments. For every ticket, the distributor running the screening is the seller and organiser of record. SeatAdmit is not the promoter, exhibitor, or merchant of the film, and is not responsible for the screening itself. This matters for refunds, cancellations and payment disputes: the distributor carries the commercial responsibility for their sales, and SeatAdmit acts as their platform and payment facilitator.
3. Accounts and team access
To list films or manage a distributor account you must provide accurate information and keep it current. You're responsible for everything that happens under your account.
4. Buying a ticket (cinema-goers)
A ticket is a licence to attend one specific screening. When you buy, you enter into a contract with the distributor running that screening; SeatAdmit processes the payment on their behalf.

Tickets are non-refundable except where a screening is cancelled by the distributor. We keep this deliberately simple and predictable:

Our pricing is flat and transparent, and every line is itemised on your payout report.
8. Payouts
Money from your sales accumulates in your SeatAdmit balance and is paid out after each screening run.
9. Chargebacks and payment disputes (distributors)
A chargeback (payment dispute) happens when a buyer asks their bank or card issuer to reverse a charge. Because the distributor is the seller of record, the distributor carries the liability for disputes on their own sales. Please read this section carefully:
10. Negative balances and recovery
Refunds, cancellation shortfalls, chargebacks and their fees can, together, exceed your available balance and leave the balance negative.
11. Distributor responsibilities and content
You are responsible for the films you list and the screenings you run.
12. Acceptable use
Don't misuse the platform. In particular, you must not attempt to defraud buyers or the payment system, list infringing or illegal content, interfere with or reverse-engineer the service, probe its security, or resell access to it. We may remove content or suspend accounts that breach these Terms.
13. Data and privacy
We handle personal data in line with the GDPR and never sell buyer data. SeatAdmit processes buyer data to operate ticketing, take payment and deliver tickets; distributors are responsible, as controllers, for how they use their own audience data. 14. Availability and no warranty
We work hard to keep SeatAdmit fast and available, but the service is provided “as is” and “as available”. We don't warrant that it will be uninterrupted or error-free, and we're not responsible for the conduct of a screening, a venue, or a payment provider's own systems.
15. Limitation of liability
To the maximum extent permitted by law, SeatAdmit is not liable for indirect or consequential losses, and our total liability to a distributor is limited to the platform fees that distributor paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be excluded by law, including buyers' mandatory statutory consumer rights.
16. Suspension and termination
You can stop using SeatAdmit at any time. We may suspend or close an account for breach of these Terms, non-payment of a negative balance, or suspected fraud or risk. On termination, outstanding amounts remain due, and any final payout is made net of fees, refunds, chargebacks and liabilities once open disputes have settled.
17. Changes to these terms
We may update these Terms from time to time. We'll notify you of material changes (and give notice of fee changes as set out above). Continuing to use SeatAdmit after a change means you accept the updated Terms.
18. Governing law
These Terms are governed by the laws of the jurisdiction in which SeatAdmit Limited is established, and disputes are subject to the exclusive jurisdiction of its courts. This does not remove any mandatory consumer-protection rights a buyer has in their country of residence.
